UniFi provides financial and operational services tailored to healthcare practices, including merchant services, patient financing, payroll and HR solutions, and practice loans (“Services”). These Terms govern your use of the Site and your relationship with us when you engage our Services.

You represent that you are of legal age to form a binding contract in your jurisdiction, will comply with these Terms, and are not prohibited from using the Services under any applicable law or regulation.

4. Account Registration and Access

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIFI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PREVIOUS 12 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless UniFi, its affiliates, and their officers, directors, employees, and agents from and against any claims, losses, liabilities, or expenses (including legal fees) arising out of your use of the Site or Services, your violation of these Terms, or your infringement of any rights of another party.

11. Termination

We may suspend or terminate your access to the Site or Services at any time, without notice, for violation of these Terms or for any other reason we deem appropriate. Upon termination, your right to use the Services immediately ceases, and we may delete your data. Sections 6 through 14 shall survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Florida. You and UniFi waive any right to a jury trial.

13. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Effective Date.” Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with any additional agreements you sign in connection with our Services, constitute the entire agreement between you and UniFi regarding your use of the Site and Services and supersede any prior agreements.

15. Miscellaneous

If any provision of these Terms is found to be invalid, the remaining provisions remain in effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver. You may not assign your rights under these Terms without our consent; we may assign ours freely.

Our systems may use automation and artificial intelligence (AI) to send or respond to communications such as text messages, phone calls, chat messages, or emails. These messages are designed to provide support, reminders, or service-related information.

By providing your contact information, you consent to receive such communications from UniFi, including via automated or AI-assisted technologies. You may opt out of text or voice messages at any time by replying “STOP” or following unsubscribe instructions in emails.

AI-generated communications are monitored by human representatives to ensure quality and compliance.

17. Consent to Communications

By providing your phone number or email address, you expressly consent to receive calls, texts, and emails from UniFi and its representatives regarding your account, services, and promotional offers.

These communications may be delivered using automated systems or prerecorded messages. You are not required to consent to marketing communications as a condition of purchasing or using our Services.

Message and data rates may apply. You may opt out at any time as described in Section 16.

18.Electronic Signatures and Communications

You agree that your electronic submissions – including form entries, digital signatures, text responses, and clicks to accept – constitute your agreement and have the same legal effect as a physical signature.

You consent to receive contracts, notices, and disclosures electronically and acknowledge that UniFi may retain these records to fulfill legal and business obligations.
